Terms and Conditions

These terms and conditions set out the agreement between Licono Ltd and the consumer who buys digital software licences through our webshop. Please read them carefully before placing an order. By placing an order you accept these terms.

Article 1 – Definitions

In these terms the following words have the meanings set out below:

  • Licono: Licono Ltd, the company that offers digital software licences to consumers at a distance.
  • Consumer: the individual who is acting for purposes that are outside their trade, business, craft or profession.
  • Agreement: the distance sales contract concluded between Licono and the consumer.
  • Digital content: the software licences and the accompanying activation codes or activation instructions that Licono delivers digitally.
  • Right of withdrawal: the consumer’s right to cancel the agreement within the cooling-off period without giving any reason.
  • Cooling-off period: the period within which the consumer may exercise the right of withdrawal.

Article 3 – Applicability

  • These terms apply to every offer made by Licono and to every agreement concluded between Licono and the consumer.
  • Before the agreement is concluded, Licono makes the text of these terms available electronically, so that the consumer can easily save it and consult it later.
  • If one or more provisions of these terms are or become wholly or partly invalid, the remaining provisions stay fully in force. In that case Licono and the consumer replace the invalid provision with a valid one that matches the purpose of the original as closely as possible.
  • Nothing in these terms affects the mandatory rights the consumer has under the applicable consumer law.

Article 4 – The offer and prices

  • The offer contains a full and accurate description of the digital products on offer, so that the consumer can make a proper assessment. Obvious mistakes or errors in the offer do not bind Licono.
  • The offer is without obligation. Licono may change or withdraw the offer as long as the consumer has not yet accepted it.
  • All prices shown are in euros and include VAT. Any taxes due are clearly shown at checkout.
  • Because Licono supplies digital licences only, no shipping costs are charged.
  • All prices are subject to printing and typesetting errors. In the event of an obvious pricing error, Licono is not obliged to deliver the licence at the incorrect price.

Article 5 – The agreement

  • The agreement is concluded at the moment the consumer accepts the offer by placing an order and meeting the conditions attached to it.
  • Licono confirms receipt of the order electronically without delay.
  • Licono takes appropriate technical and organisational measures to secure the electronic transfer of data and provides a secure payment environment.
  • Every agreement is entered into subject to the relevant licences being sufficiently available.

Article 6 – Order and delivery

  • Licono supplies digital products only. No physical goods are shipped.
  • After a successful payment, Licono delivers the order digitally to the email address provided by the consumer. The delivery consists of the licence code and, where applicable, the instructions to activate the software.
  • In most cases delivery takes place within a few minutes to two hours of payment. In exceptional cases it may take up to 24 hours.
  • Delivery is deemed complete at the moment the digital content has been sent to the email address provided by the consumer. The consumer is responsible for entering the correct email address.
  • If delivery is unexpectedly delayed or temporarily impossible, Licono informs the consumer as soon as possible. If delivery cannot be completed, the consumer is entitled to a refund of the amount paid.

Article 7 – Payment

  • The order is paid in advance using the payment methods offered in the webshop.
  • The consumer must report any inaccuracies in the payment details provided to Licono without delay.
  • Licono delivers the digital content only after payment has been received.

Article 8 – Right of withdrawal

The following rules apply to digital content that is not supplied on a physical medium. They are in line with our refund and returns policy.

  • In principle the consumer has a cooling-off period of 14 days to cancel the agreement without giving any reason.
  • However, the right of withdrawal lapses as soon as the delivery of the digital content has begun, provided the consumer has expressly agreed in advance to immediate delivery and has acknowledged that this means losing the right of withdrawal.
  • By placing an order and accepting immediate delivery, the consumer gives this express consent and acknowledgement.
  • As long as delivery has not yet begun, the consumer may cancel the order free of charge. Any amount already paid is then refunded as soon as possible, and no later than within 14 days, using the original payment method.

Article 9 – Conformity and warranty

  • Licono guarantees that the licences delivered meet the agreement and the specifications stated in the offer.
  • If a delivered licence does not work as it should, the consumer reports this as soon as possible to info@licono.nl, with a clear description of the problem.
  • Licono first tries to resolve the problem, for example by providing support with installation or activation or by offering a replacement licence.
  • If a suitable solution is not possible, the consumer receives a refund in line with the refund and returns policy.
  • The warranty does not apply if the defect results from incorrect installation or use, if the consumer’s system does not meet the software requirements, or if the cause lies outside Licono’s control.
  • This provision does not affect the statutory conformity rights the consumer has under the applicable consumer law.

Article 10 – Liability

  • Licono is liable for loss that is the direct and reasonably foreseeable result of a failure attributable to Licono.
  • Licono’s liability is limited to the amount the consumer paid for the order concerned, unless mandatory law requires broader liability.
  • Licono is not liable for indirect loss, such as consequential loss or loss of data, to the extent that mandatory law permits.
  • Nothing in these terms limits or excludes Licono’s liability for matters that may not lawfully be limited or excluded, including death or personal injury caused by negligence, and fraud.

Article 11 – Complaints

  • Complaints about the performance of the agreement can be submitted to info@licono.nl, with a full and clear description.
  • Licono confirms receipt of a complaint and answers it within 14 days of receipt. If a complaint needs more processing time, Licono says so within that period and gives an indication of when the consumer can expect a full reply.
  • Consumers in the European Union may also submit a dispute through the European Commission’s online dispute resolution platform at https://ec.europa.eu/consumers/odr. We prefer to find a solution together, however, and ask you to contact us directly first.

Article 12 – Governing law and disputes

  • These terms and every agreement between Licono and the consumer are governed by the law of England and Wales.
  • This choice of law does not prevent the consumer from relying on the mandatory consumer-protection provisions of the European Union country where they habitually reside. European consumer protection remains expressly applicable and is not restricted by this choice of law.
  • The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

Article 13 – Changes to these terms

Licono may amend these terms from time to time. The version of the terms that applies to an agreement is the version in force at the moment the agreement was concluded. The current version can always be consulted on this page.
